Agreement

By accessing or using Gyre One (the "Service"), you agree to these Terms of Service. The Service is operated by Gyre Holdings LLC ("Gyre", "we", "us"). Where this summary is silent, the master Gyre Holdings Terms of Service apply in full.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Your account

You are responsible for safeguarding your credentials and for all activity that occurs under your account.
You must provide accurate registration information and keep it current.
You must promptly notify us of any unauthorized access.

Acceptable use

You agree not to:

Use the Service to violate any law or third-party right.
Attempt to access accounts, systems, or data you are not authorized to access.
Reverse-engineer, decompile, or disassemble the Service except as expressly permitted by law.
Send spam, malware, or otherwise interfere with the Service.
Resell, sublicense, or redistribute the Service without written authorization.

Your content

You retain all rights to content you submit to the Service. You grant Gyre a non-exclusive, worldwide, royalty-free license to host, process, and display that content solely as needed to operate the Service for you. We do not claim ownership of your content and we do not authorize third-party AI providers to train on it.

Subscriptions and billing

Subscription pricing, renewal cadence, and refund policy for each plan are stated on the Pricing page. Fees are billed in advance and are non-refundable except where required by law.

Service availability

We aim for high uptime but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service with reasonable notice.

Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, Gyre is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Total liability is capped at the fees you paid in the 12 months preceding the claim.

Termination

Either party may terminate the agreement at any time. We may suspend or terminate accounts that violate these Terms. On termination, your right to access the Service ends; we will provide a reasonable export window for your data.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
